We are often asked to help charities when matters concern the senior management team, including the CEO. In recent cases, we have got involved at the point that an investigation is needed. However, we have seen cases where earlier intervention in the form of a governance review by us may have headed off the difficulties.

Many of the problems we have looked at stem from trustees overstepping their roles and getting involved inappropriately in executive issues. 

In one case, trustees appeared to be only on the board by rotation or for personal aggrandisement, rather than properly fulfilling a governance/strategy role. In another it was unclear how conflicts between trustees and between trustees and executives were resolved.
